1. Agreement to these Terms
These Terms and Conditions (“Terms”) govern your access to and use of ReachSupply.ca, ReachSupplyCo.com, related REACH Supply storefronts, customer accounts, communications, products, and services.
By visiting a REACH Supply storefront, creating an account, submitting an order, or otherwise using our services, you agree to these Terms and to the policies incorporated into them. The version presented on the storefront used for the transaction applies to that order. If you do not agree, do not use the storefront or submit an order.
2. REACH Supply storefronts and contracting seller
“REACH Supply,” “we,” “us,” and “our” refer to the legal seller identified for the applicable transaction on the checkout page, order confirmation, invoice, payment record, or other order record.
Orders placed through ReachSupply.ca are intended for the Canadian market and are sold by the Canadian REACH Supply entity identified in the order record. Orders placed through ReachSupplyCo.com are intended for the United States market and are sold by the United States REACH Supply entity identified in the order record.
The Canadian and United States storefronts are separate operations. Product records, prices, currencies, taxes, payment accounts, customer accounts, order histories, credits, promotions, shipping methods, and trade-account benefits are not automatically shared between storefronts.
Affiliates, contractors, suppliers, fulfilment locations, payment providers, carriers, and service providers may perform functions for the applicable seller. They do not become the contracting seller unless the transaction record expressly identifies them as the seller.
The applicable checkout and order record should be reviewed for the seller’s legal name, contact details, currency, product description, total price, taxes and fees, delivery information, and other transaction-specific terms.
3. Eligibility and customer accounts
You must have legal capacity and have reached the age required to enter into a binding agreement in your province, state, territory, or country. A person who does not have that capacity may use the storefront only through a parent, legal guardian, or other person legally authorized to act for them.
You are responsible for providing accurate and current information, protecting your account credentials, and activity occurring through your account. Do not share account access with an unauthorized person. Notify us promptly if you suspect unauthorized access.
Accounts on ReachSupply.ca and ReachSupplyCo.com are maintained separately and may require separate registration. We may suspend, restrict, or close an account where reasonably necessary to protect customers, prevent fraud or misuse, comply with law, or maintain storefront security. Any action will remain subject to rights that cannot legally be restricted.
4. Products and website information
We aim to present product names, images, descriptions, specifications, dimensions, availability, and pricing accurately. However, information may be supplied or updated by manufacturers, distributors, suppliers, catalogue providers, or other sources and may contain errors, omissions, delays, or differences from the product ultimately supplied.
Images may be illustrative. Packaging, labelling, appearance, revisions, country of origin, and non-material specifications may change without notice. A manufacturer may also replace an obsolete part with an authorized superseding part. We will not knowingly substitute a materially different product without consent where consent is required by law or the order agreement.
Product names, model numbers, manufacturer names, trademarks, and other identifiers may be used to describe a product or indicate intended compatibility. Their use does not imply sponsorship, endorsement, or affiliation unless expressly stated.
5. Product compatibility and customer responsibility
You are responsible for confirming that a product is suitable for your equipment and intended application before ordering. This may require checking the full model number, serial number, existing part number, production revision, dimensions, voltage, fuel type, regional requirements, connectors, specifications, software, and installation conditions.
Compatibility information provided by REACH Supply is based on the information reasonably available to us and the information you provide. It is not a guarantee where information is incomplete, inaccurate, altered, or where manufacturers have changed product designs or substitutions.
Do not rely only on visual similarity. Contact support before ordering when compatibility is uncertain. Nothing in this section removes a remedy available where a customer reasonably relied on an express written representation after supplying complete and accurate information.
6. Orders and acceptance
Submitting an order is an offer to purchase. An automated acknowledgement, payment authorization, or order number confirms receipt of the order but does not necessarily mean that the order has been accepted.
We may accept an order by sending an express acceptance, capturing payment, beginning fulfilment, or shipping the product. We may reject, hold, limit, or cancel an order before acceptance for reasons including:
- inventory, supplier, or fulfilment limitations;
- pricing, description, tax, currency, or catalogue errors;
- suspected fraud, misuse, resale abuse, export concerns, or unauthorized payment;
- payment failure or inability to verify information;
- shipping restrictions, carrier limitations, or undeliverable destinations;
- quantity limits or unusually large orders; or
- legal, regulatory, safety, sanctions, or compliance concerns.
If we cancel an unfulfilled order after payment has been captured, we will issue the applicable refund to the original payment method, subject to payment-provider processing time.
7. Pricing, currency, and taxes
Prices, promotions, availability, and account-specific pricing may change without notice before an order is accepted. Prices shown on ReachSupply.ca are generally displayed in Canadian dollars. Prices shown on ReachSupplyCo.com are generally displayed in United States dollars unless otherwise stated.
Prices for the same product may differ between storefronts, markets, customer accounts, and order channels. A price in one country, currency, account, or storefront does not create an entitlement to that price elsewhere.
Applicable sales tax, GST/HST, provincial tax, state or local tax, duties, brokerage, import charges, environmental fees, and other government charges may be added or collected as required. A Canadian GST/HST registration number does not by itself make a purchase tax-exempt. United States resale or exemption treatment applies only after valid documentation has been received, reviewed, and approved for the applicable storefront and jurisdiction.
Unless expressly included in the order total, the customer is responsible for duties, brokerage, import charges, carrier fees, or government charges imposed after shipment, subject to mandatory disclosure and consumer-protection requirements.
If a material pricing or catalogue error occurs, we may correct it and give you the option to proceed at the corrected price or cancel the affected item. We will provide any cancellation or refund required by law.
8. Payment authorization and capture
By submitting payment information, you represent that you are authorized to use the selected payment method and authorize the applicable seller and payment provider to verify, preauthorize, charge, capture, void, refund, or otherwise process the transaction.
Some orders may begin with a preauthorization rather than an immediate final charge. For payment methods with a seven-day authorization window, payment will normally be captured or the authorization released before that period expires. Other payment methods may have different authorization periods disclosed at checkout or by the payment provider.
Payment may be captured when an order is accepted, prepared, sourced, allocated, or shipped. If an authorization expires or is released before capture, we may request a new authorization or payment method, or cancel the affected order. We will not represent an expired authorization as a completed payment.
A bank or card issuer may display an authorization hold even when an order has not been accepted. The timing for releasing holds is controlled by the financial institution and payment network.
We may use fraud-prevention tools, request reasonable verification, limit payment methods, or delay fulfilment while payment or identity information is reviewed.
9. Availability, backorders, and substitutions
Inventory and supplier availability can change before an order is fulfilled. An item displayed as available may become delayed, backordered, discontinued, allocated, or unavailable.
We may ship available items separately, cancel unavailable items, offer an alternative, or request approval for a manufacturer-authorized replacement or superseding part. We will not knowingly substitute a materially different product without your consent where consent is required.
10. Shipping and delivery
Shipping quotes, dispatch dates, transit times, and delivery dates are estimates unless expressly identified as guaranteed. Delays may occur because of suppliers, carriers, customs, weather, labour interruptions, remote locations, address issues, high demand, or events beyond our reasonable control.
The customer is responsible for providing a complete and deliverable address and for reviewing tracking information. Additional charges caused by an incorrect address, refused delivery, failed delivery, storage, redirection, remote-area service, or return-to-sender shipment may be deducted from a refund or charged separately only where disclosed and legally permitted.
We will provide the transaction and delivery information required by applicable law, including any required supply date, delivery arrangement, delay notice, revised date, cancellation option, or refund process.

11. Title and risk of loss
Title transfers at the time determined by the applicable order agreement and law, after any required payment has been received.
For consumer orders, risk of loss remains with the applicable seller until the point required by mandatory law, which is generally delivery to the agreed destination or receipt by the customer or an authorized recipient. A carrier’s scan does not override a consumer remedy where the shipment was not delivered as required.
For business, wholesale, freight, export, or customer-arranged carrier orders, risk may transfer when the shipment is released to the carrier or at another point stated in the quotation, shipping term, or order record, to the extent permitted by law.
Report visible shipping damage, shortages, or delivery discrepancies promptly and preserve the packaging, labels, photographs, and carrier records needed to investigate a claim.
12. Cancellations, returns, and refunds
Order cancellations, returns, exclusions, restocking charges, return authorization requirements, inspection standards, refund timing, and non-returnable products are governed by our Refund and Returns Policy, which forms part of these Terms.
An order cannot always be cancelled after sourcing, allocation, processing, or shipment has begun. Special-order, electrical, electronic, gas, opened, installed, used, programmed, cut, customized, hazardous, clearance, or final-sale products may have additional restrictions where permitted by law.
Nothing in our return rules limits a mandatory cancellation, refund, rejection, chargeback, or consumer remedy provided by applicable law.
13. Warranties
Products may include a manufacturer, distributor, supplier, or other third-party warranty. The duration, coverage, exclusions, documentation, and claim process vary by product. Unless REACH Supply expressly provides a separate written warranty, REACH Supply does not create an additional written product warranty beyond the warranty identified for the product and rights imposed by law.
Nothing in these Terms disclaims or limits an express warranty, implied warranty, statutory condition, legal warranty, or consumer remedy where that disclaimer or limitation is prohibited. A written warranty or service contract may also restrict the ability to disclaim implied warranties under applicable United States law.
Warranty claims may require proof of purchase, photographs, model and serial information, diagnostic information, return of the product, and confirmation of proper application. Labour, diagnosis, removal, installation, travel, shipping, consequential damage, and third-party costs are covered only when the applicable warranty or mandatory law provides that remedy.

14. Installation, service, and product use
Unless REACH Supply separately agrees in writing to provide installation or service, the sale is for the product only. REACH Supply does not select, employ, supervise, direct, or control the person who installs, services, modifies, tests, or uses the product.
The customer is responsible for deciding who performs installation or service, determining whether licences, permits, inspections, qualifications, tools, procedures, or safety measures are required, and ensuring compliance with instructions, codes, and applicable law.
To the fullest extent permitted by law, REACH Supply is not responsible for injury, property damage, equipment damage, code violations, product failure, loss of use, or other loss caused by incorrect selection, misuse, modification, improper handling, incorrect installation, unauthorized service, failure to follow instructions, or the acts or omissions of the customer or a third party.
This section does not exclude liability that cannot lawfully be excluded or liability directly caused by REACH Supply’s own fraud, wilful misconduct, or other conduct for which exclusion is prohibited.
15. Trade, wholesale, and business accounts
Trade, wholesale, commercial, government, institutional, and other business customers may receive account-specific pricing, purchasing access, credit limits, purchase-order options, tax treatment, or service levels. Approval and benefits are discretionary, confidential, non-transferable, and may be changed, suspended, or withdrawn subject to any binding written agreement and applicable law.
Canadian and United States trade accounts are administered separately. Approval on one storefront does not automatically approve the other storefront, and pricing, currency, tax documentation, credit terms, order history, and account benefits may differ.
A quotation, credit approval, purchase order, account agreement, or other written arrangement may contain terms that supplement or replace parts of these Terms. If there is a direct conflict, the specifically negotiated written agreement controls for that transaction.
Business customers represent that purchases are made for legitimate business purposes and that the individual acting for the customer has authority to bind the organization.
16. Promotions, coupons, credits, and gift value
Promotions, coupons, discounts, account credits, referral benefits, and gift value may be subject to separate conditions, expiration dates, product exclusions, quantity limits, geographic limits, minimum purchases, and account restrictions.
Unless expressly permitted, offers cannot be combined, transferred, reproduced, sold, exchanged for cash, or applied retroactively. We may cancel or refuse benefits obtained through error, manipulation, fraud, duplicate accounts, automated activity, or violation of the applicable promotion terms.
17. Reviews, communications, and submitted content
If you submit a review, photograph, product question, suggestion, testimonial, or other content, you represent that you have the right to submit it and that it is accurate, lawful, and does not violate another person’s rights. Do not submit confidential information, payment credentials, government identification, or unnecessary personal information through a public review or product-question feature.
For content intended for publication, you grant REACH Supply a non-exclusive, worldwide, royalty-free licence to host, reproduce, format, adapt, publish, and display that content for operating, improving, and promoting the storefronts and products, subject to our Privacy Policy. We may moderate, refuse, or remove unlawful, irrelevant, abusive, fraudulent, or privacy-invasive content.
Nothing in these Terms prohibits a customer from making an honest review or communicating truthful information about REACH Supply, its products, or services.
18. Intellectual property
The storefront design, branding, text, graphics, databases, product organization, software, code, and original content are owned by or licensed to REACH Supply and are protected by intellectual-property laws.
You may use the storefront only for lawful personal or internal business purchasing. You may not copy, republish, distribute, frame, mirror, reverse engineer, extract, commercially exploit, or create derivative works from protected storefront content without written permission.
19. Prohibited activities
You may not:
- submit fraudulent, unauthorized, misleading, or unlawful orders;
- interfere with security, availability, checkout, accounts, or other users;
- introduce malware or attempt unauthorized access;
- use automated tools, bots, scraping, crawling, extraction, or monitoring to collect pricing, inventory, catalogue data, images, customer information, or website content without written permission;
- circumvent quantity limits, account restrictions, pricing rules, or access controls;
- misrepresent affiliation with REACH Supply or use our services to violate law or third-party rights; or
- use storefront content or data to build, train, enrich, or operate a competing catalogue, marketplace, pricing service, or automated system without written permission.
We may restrict access, cancel orders, suspend accounts, preserve evidence, and take other lawful action in response to suspected violations.
20. Third-party services and links
The storefront may use or link to payment processors, carriers, manufacturers, suppliers, analytics providers, social platforms, financing providers, maps, or other third-party services. Those services may have separate terms and privacy practices.
We are not responsible for an independent third party’s website, systems, representations, availability, or conduct, except to the extent responsibility cannot be excluded by law or the third party is acting under our legal control for the relevant activity.
21. Electronic communications and records
You consent to receive agreements, notices, receipts, order updates, invoices, security messages, policy notices, and other transaction or account records electronically through the storefront, your account, or the contact information you provide. Electronic records and signatures may be used to the extent permitted by law.
Transactional consent does not by itself authorize unrelated marketing where separate consent is required. Promotional email or text messages will be sent and managed in accordance with applicable consent, identification, and unsubscribe requirements.
You are responsible for maintaining a valid email address and retaining copies of records relevant to your transaction.
22. Disclaimers
To the fullest extent permitted by law, the storefront and services are provided on an “as available” basis. We do not guarantee uninterrupted access, error-free operation, continuous product availability, or that every catalogue description, image, compatibility record, delivery estimate, or third-party data point will always be complete or current.
Except for express written commitments and rights that cannot be excluded, we disclaim implied representations, conditions, and warranties only to the extent that such a disclaimer is lawful. This section does not disclaim an express product warranty, a mandatory consumer warranty or condition, an implied warranty that cannot lawfully be excluded, or liability arising from a legally actionable misrepresentation.
23. Limitation of liability
Consumer transactions
For consumer transactions, exclusions and limitations apply only to the extent permitted by applicable law. Nothing in these Terms limits a mandatory refund, cancellation right, warranty remedy, product-liability claim, or other consumer remedy that cannot legally be limited.
Business transactions
For business, trade, wholesale, institutional, government, or commercial transactions, and to the fullest extent permitted by law, REACH Supply and the businesses and persons performing services on its behalf will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, data, opportunity, goodwill, business interruption, labour, diagnosis, removal, reinstallation, travel, or loss of use.
For those business transactions, the total aggregate liability arising from a product, order, or related service will not exceed the amount paid to the applicable seller for the specific product or order giving rise to the claim, except where a different limitation is stated in a signed or expressly accepted written agreement.
These limitations do not apply to liability that cannot legally be limited, including applicable liability for fraud, wilful misconduct, personal injury, death, product liability, or mandatory consumer remedies.
24. Indemnity
To the extent permitted by law, a business or wholesale customer agrees to defend, indemnify, and hold harmless REACH Supply and the businesses and persons performing services on its behalf from third-party claims, losses, penalties, and reasonable costs arising from that customer’s unlawful conduct, resale representations, misuse, unauthorized modification, improper installation, infringement, breach of these Terms, or violation of another party’s rights.
This business-customer indemnity does not apply to the extent a claim was directly caused by REACH Supply’s own legally actionable conduct. It does not impose obligations on an individual consumer where such obligations would be prohibited or unfair under applicable law.
25. Events beyond our reasonable control
We are not responsible for delay or failure caused by events beyond our reasonable control, including natural disasters, severe weather, fire, flood, epidemic, war, terrorism, civil unrest, government action, sanctions, border interruption, labour disruption, carrier failure, supplier failure, utility outage, cyberattack, telecommunications failure, or widespread system interruption.
We may allocate inventory, extend estimates, use alternative fulfilment, suspend performance, or cancel affected orders. Refund and cancellation rights required by law remain available.
26. Dispute resolution
Informal resolution first
Before starting formal proceedings, you and REACH Supply agree to make a good-faith effort to resolve the dispute. Send a written description of the issue, relevant order number, requested resolution, storefront used, and contact information to [email protected]. Unless urgent relief is reasonably necessary, each party should allow a reasonable opportunity for review and response.
Canadian consumer transactions
For a consumer transaction through ReachSupply.ca, you may use any court, tribunal, regulator, complaint process, chargeback right, or remedy available under mandatory law. No venue, governing-law, or informal-resolution language in these Terms removes a non-waivable right available in your province or territory.
Canadian business transactions
For a business, trade, wholesale, or commercial transaction through ReachSupply.ca, disputes will be submitted to the courts of the province in which the applicable Canadian seller has its principal place of business, unless the parties agree in writing to another lawful forum or dispute process.
United States consumer transactions
For a United States consumer transaction through ReachSupplyCo.com, you may bring an eligible matter in small-claims court or another court or forum available under applicable law. These Terms do not require individual arbitration unless a separate arbitration agreement is clearly presented and validly accepted.
United States business transactions
For a United States business, trade, wholesale, or commercial transaction, disputes will be submitted to a court of competent jurisdiction in the state where the applicable United States seller has its principal place of business, unless the parties agree in writing to confidential arbitration or another lawful forum.
27. Governing law
Transactions through ReachSupply.ca are governed by the laws of the province in which the applicable Canadian seller has its principal place of business and the federal laws of Canada applicable there, without giving effect to conflict-of-law rules, while preserving mandatory rights that apply in the customer’s province or territory.
Transactions through ReachSupplyCo.com are governed by the laws of the state in which the applicable United States seller has its principal place of business and applicable United States federal law, without giving effect to conflict-of-law rules, while preserving non-waivable rights under law applicable to the customer.
The United Nations Convention on Contracts for the International Sale of Goods does not apply, except where its exclusion is prohibited.
28. General terms
If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver.
You may not assign an order, account, or rights under these Terms without written consent. REACH Supply may assign or transfer rights and obligations to an affiliate, successor, purchaser, financing party, or another operating business in connection with a reorganization, sale, financing, or transfer of operations, subject to applicable law.
Headings are for convenience only. “Including” means “including without limitation.” These Terms are interpreted fairly and not strictly for or against either party based on authorship.
These Terms, the order record, and incorporated policies form the agreement for the transaction. A specifically negotiated written agreement signed or expressly accepted by REACH Supply controls over conflicting general terms. Customer purchase-order terms do not apply unless expressly accepted in writing.
29. Changes to these Terms
We may update these Terms prospectively to reflect changes to our operations, products, technology, risks, or legal obligations. The revised version will state its effective date. Material changes may also be highlighted on the storefront or communicated through an account or email where appropriate.
A revised version will not retroactively change an already accepted order unless permitted by law and agreed where required. Continued use of the storefront after the effective date constitutes acceptance of the revised Terms for future use and future orders.
