1. Agreement and incorporated policies

These Terms & Conditions apply to ReachSupply.ca, customer accounts, Canadian orders and the related services provided by REACH Supply. They work with the order details and the policies presented before you complete a purchase.

Review these terms before ordering. At checkout or when accepting a quotation, you must have an opportunity to review the transaction, correct mistakes and accept or decline it. An order acknowledgement does not remove any right concerning required online-contract disclosures or the copy of your agreement.

The Shipping & Delivery Policy, Returns & Refunds Policy and Warranty Information apply where relevant. Approved business accounts also have Trade Account Terms. Our Privacy Policy explains personal-information practices; accepting purchase terms is not blanket consent to optional marketing or tracking.

2. REACH Supply Canada and contracting seller

REACH Supply is the seller for purchases made through ReachSupply.ca. “REACH Supply Canada” identifies the Canadian storefront and does not describe a separate purchasing program. Orders are contracted with REACH Supply unless an order-specific written agreement expressly identifies a different contracting seller.

A manufacturer, distributor, supplier, warehouse, carrier or payment provider may perform part of the transaction for REACH Supply. Participating in sourcing, payment or fulfilment does not by itself make that provider the seller or remove REACH Supply’s legal responsibilities.

3. Eligibility and customer accounts

You must have legal capacity to enter a binding contract. Anyone ordering for a business or organization must be authorized to act for it.

Keep account details accurate, protect your credentials and promptly report suspected unauthorized access through the Support Center or by email. You are responsible for purchases you authorize and for reasonable account-security precautions; use of your credentials alone does not conclusively establish authorization or remove a lawful right to dispute an unauthorized transaction.

We may restrict access or request reasonable verification to protect accounts, investigate fraud, meet legal requirements or address misuse. Security restrictions do not cancel an existing mandatory refund, warranty or complaint right.

4. Product and catalogue information

We aim to present product names, descriptions, images, specifications, dimensions, availability, and pricing accurately. Information may originate from manufacturers, suppliers, catalogue providers, or other sources and may contain errors, omissions, or delayed updates.

Images may be illustrative. Packaging, labelling, appearance, country of origin, revision, and non-material specifications may change. Manufacturers may replace obsolete parts with authorized superseding parts.

We will not knowingly substitute a materially different product without consent where consent is required. Product names and trademarks are used for identification and compatibility and do not imply affiliation unless stated.

5. Compatibility and product selection

You are responsible for confirming the correct full model number, serial number, existing part number, production revision, dimensions, voltage, connectors, software, certifications, intended application, and installation conditions before ordering.

Do not rely solely on visual similarity. Compatibility assistance is based on information reasonably available and information you provide. It is not an unconditional guarantee where information is incomplete, inaccurate, or affected by manufacturer revisions.

Nothing removes a remedy where you reasonably relied on an express written recommendation after providing complete and accurate information.

6. Orders and acceptance

Submitting an order is an offer to purchase. An automated acknowledgement, order number or payment preauthorization confirms receipt and may be followed by availability, payment or other verification.

Acceptance may occur through an express acceptance confirmation, payment capture, sourcing or allocation of the order, preparation, shipment, or another act that constitutes acceptance under applicable law. An internal status label does not postpone a contract that the law treats as already formed.

Before acceptance, we may reject, hold or limit an order because of availability, a material pricing or catalogue error, unsuccessful payment, verification, fraud risk, shipping restrictions, quantity limits, supplier requirements, safety or legal compliance. Material substitutions or price increases require any consent the law requires.

If we cannot fulfil an accepted order, we will communicate the available options and provide the cancellation or refund required by the agreement and applicable law. Captured payments for cancelled, unfulfilled items are refunded; an uncaptured authorization is released or voided through the payment provider.

7. Pricing, currency, and taxes

Prices on ReachSupply.ca are in Canadian dollars unless the transaction clearly states otherwise. Prices may vary by account, product, quantity, promotion or sales channel, and may change before order acceptance.

Applicable GST/HST, PST and QST are calculated for the transaction and delivery destination. Shipping, handling and any product-specific recycling or environmental charges must be disclosed as required before purchase. A business or GST/HST registration number does not by itself make an order tax-exempt; any exemption must be supported by valid documentation for that tax and transaction.

Mandatory non-government fees must be included or disclosed in the advertised total as required by law; they cannot be added in a way that makes an advertised price unattainable. Approved cross-border orders may have separately disclosed duties, brokerage or import charges.

If a material pricing, tax or catalogue error is found, we will explain the correction and seek approval where needed. We will not simply charge a higher amount without authorization. Rights for an already accepted order remain subject to applicable law.

8. Payment authorization and capture

By providing a payment method, you represent that you are authorized to use it and authorize REACH Supply and its payment providers to verify, preauthorize, charge, capture, void, or refund amounts associated with the order.

Some orders begin with a preauthorization. Payment may be captured when the order is accepted, sourced, allocated, prepared, or shipped. If an authorization expires, we may request a new authorization or payment method or cancel the affected order.

Financial institutions control how long authorization holds remain visible. We may request reasonable verification or delay fulfilment while payment, identity, or fraud risk is reviewed.

9. Availability, backorders, and substitutions

Inventory and supplier availability can change before fulfilment. An item shown as available may become delayed, backordered, allocated, discontinued, or unavailable.

We may split the order, cancel unavailable items, offer an alternative, or request approval for a manufacturer-authorized replacement or superseding part. A materially different substitute will not be supplied without consent where required.

10. Shipping and delivery

Processing, dispatch, transit, and delivery dates are estimates unless expressly guaranteed. Orders may ship directly from suppliers or multiple locations and may arrive in separate packages.

You are responsible for a complete and deliverable address, reviewing tracking, arranging safe receipt, and paying disclosed shipping or special-handling charges.

These Terms & Conditions incorporate the Shipping & Delivery Policy, which governs carriers, split shipments, tracking, delivery evidence, damage, shortages, address errors, freight, delays, and related matters.

11. Title and risk of loss

Title transfers after cleared payment at the time determined by the order agreement and applicable law.

For consumer orders, risk of loss remains with REACH Supply until the point required by mandatory law, generally proper delivery to the agreed destination or receipt by the customer or an authorized recipient.

For business, freight, export, or customer-arranged carrier orders, risk may transfer at a different point stated in an accepted quotation, shipping term, or written agreement, to the extent permitted by law.

12. Cancellations, returns, refunds, and warranty

The Returns & Refunds Policy is the main policy for cancellations, voluntary returns, shipment problems, inspections, restocking and refunds. Warranty Information explains product-specific written warranties and statutory rights in more detail.

An ordinary cancellation may no longer be possible after supplier commitment, sourcing, allocation, customization, packing or shipment. Special-order, opened, installed, used or other restricted products may be ineligible for a voluntary return when the restriction was properly disclosed before purchase.

These restrictions concern voluntary cancellations and returns. They do not remove rights for defects, misdescription, non-delivery or a statutory cancellation. Start a request through Returns & Warranty Requests; inability to use the portal does not prevent a legally valid notice by another permitted method.

13. Installation, service, and product use

Unless REACH Supply separately agrees in writing to provide installation or service, the transaction is for the product only. You are responsible for selecting qualified personnel, obtaining permits and inspections, following instructions and codes, and using the product safely and lawfully.

To the fullest extent permitted by law, REACH Supply is not responsible for loss caused by incorrect selection, improper storage, handling, wiring, voltage, installation, programming, modification, maintenance, misuse, or the acts of an independent technician or contractor.

This does not exclude liability that cannot lawfully be excluded.

14. Trade and wholesale customers

Approved business customers remain subject to these Terms and Conditions and may receive account-specific pricing, quantities, payment options, product access, or service levels. Approval and benefits are confidential, non-transferable, and also subject to the Trade Account Terms.

Unless a separate written agreement states otherwise, trade accounts are payment-due-at-order and do not include credit terms.

15. Promotions, coupons, and credits

Promotional offers, coupons and discounts may have disclosed eligibility rules, exclusions, minimums, expiry dates and limits. Unless an offer says otherwise, it cannot be combined, transferred, sold or applied retroactively.

Purchased gift cards, prepaid value and refunds are not treated as promotional coupons. Any expiry, fee, cash-out or use restriction must comply with the rules applicable to that type of value and transaction.

Benefits obtained through fraud, manipulation or a demonstrable error may be corrected where lawful. This does not authorize cancellation of a valid paid balance or a mandatory refund.

16. Reviews, communications, and submitted content

Submit only reviews, photographs, questions and other content that you are entitled to provide and that do not unlawfully disclose another person’s information or infringe their rights.

For content you intentionally submit for public display, you grant REACH Supply a non-exclusive, worldwide, royalty-free licence to host, format, reproduce and display it for the stated publication purpose. This licence does not make private support messages, warranty evidence or identity documents public or authorize their use in advertising without the required consent.

We may moderate unlawful, irrelevant, abusive, fraudulent, infringing or privacy-invasive content. Honest reviews, good-faith complaints and lawful communications are not prohibited.

17. Intellectual property

The ReachSupply.ca website design, branding, text, graphics, databases, software, code, and original content are owned by or licensed to REACH Supply and protected by applicable law.

You may use ReachSupply.ca for lawful personal or internal business purchasing. You may not reproduce, republish, mirror, reverse engineer, extract, or commercially exploit protected content without written permission.

18. Prohibited activities

You may not submit fraudulent or unlawful orders; interfere with security or availability; introduce malicious code; attempt unauthorized access; circumvent pricing, quantity, account, or access controls; or misrepresent affiliation with REACH Supply.

Automated scraping, crawling, extraction, monitoring, or collection of pricing, inventory, catalogue data, images, customer information, or website content is prohibited without written permission.

We may restrict access, cancel orders, suspend accounts, preserve evidence, and take lawful action in response to suspected violations.

19. Third-party services and links

ReachSupply.ca may use or link to payment processors, carriers, manufacturers, suppliers, analytics providers, marketing platforms, maps, financing providers, and other third parties. Their services may have separate terms and privacy practices.

REACH Supply is not responsible for an independent third party's systems, representations, or conduct except to the extent responsibility cannot be excluded or the third party acts under REACH Supply's legal control for the activity.

20. Electronic communications and marketing

We use the contact details you provide for order confirmations, invoices, payment and delivery updates, account security, product-safety notices and responses to your requests. Any required contract copy or notice must be provided in the manner required by law.

Placing an order, applying for a trade account or submitting a support request does not by itself give blanket permission for unrelated promotional messages. Commercial email and text messages are sent only with the consent or exception permitted by Canada’s Anti-Spam Legislation, with required sender information and an unsubscribe method.

Marketing unsubscribe requests are honoured without delay and no later than 10 business days where CASL applies. Necessary service messages may continue where lawful after a marketing opt-out.

21. Privacy

Our Privacy Policy explains how personal information is collected, used, disclosed, retained, and protected, including information shared with payment providers, carriers, suppliers, and direct-shipment partners.

22. Website and service disclaimers

The website is provided on an “as available” basis. We cannot promise uninterrupted access or that every catalogue entry, image, compatibility reference, estimate or third-party data point will always be complete and current.

These website limitations do not change the products or express commitments agreed for an accepted order. They do not exclude applicable statutory or implied product warranties, accurate-description obligations or other rights that cannot lawfully be excluded.

23. Limitation of liability

Consumer transactions

For consumer transactions, limitations apply only to the extent permitted by law. Nothing limits a mandatory refund, cancellation right, legal warranty, product-liability claim, or other non-waivable remedy.

Business transactions

For business, trade, wholesale, institutional, government, or commercial transactions, and to the fullest extent permitted by law, REACH Supply is not liable for indirect, incidental, special, exemplary, punitive, or consequential losses, including lost profit, revenue, data, opportunity, business interruption, labour, diagnosis, removal, reinstallation, travel, or loss of use.

Subject to liability that cannot lawfully be limited, aggregate liability arising from a product or order will not exceed the amount paid to REACH Supply for the specific product or order giving rise to the claim.

These business limitations do not exclude liability for fraud, wilful misconduct, or personal injury, death or other liability to the extent it cannot lawfully be limited. They do not restrict consumer rights merely because a customer has a trade login.

24. Business indemnity

To the extent permitted by law, a business customer will defend and indemnify REACH Supply against third-party claims and reasonable costs arising from that customer's unlawful resale, false representations, misuse, unauthorized modification, improper installation, infringement, privacy breach, export, or violation of these terms.

This does not apply to the extent a claim was directly caused by REACH Supply's legally actionable conduct and does not impose prohibited obligations on consumers.

25. Events beyond our reasonable control

REACH Supply is not responsible for delay or failure caused by events beyond reasonable control, including supplier interruption, allocation, carrier failure, customs delay, weather, natural disaster, labour disruption, government action, sanctions, cyberattack, utility outage, or transportation interruption.

We may extend estimates, change fulfilment, allocate inventory, suspend performance, or cancel affected items. Cancellation and refund rights required by law remain available.

26. Disputes and governing law

You may contact the Support Center or email [email protected] to seek an informal resolution. Include the relevant order number, facts and the outcome you are requesting. Contacting us first is encouraged, not a mandatory step before using a legal remedy.

Consumers retain access to courts, tribunals, regulators, class proceedings, truthful reviews and lawful payment-dispute remedies. These terms do not require arbitration, mediation or another preliminary dispute process and do not shorten a statutory notice or limitation period.

These terms use British Columbia law and applicable federal Canadian law, without taking away mandatory protections or forums that apply in another province or territory. For business disputes, a British Columbia court with lawful jurisdiction is the agreed forum unless another forum is agreed or required by law. This does not exclude a tribunal or small-claims process that cannot lawfully be excluded.

The United Nations Convention on Contracts for the International Sale of Goods is excluded to the extent permitted by law.

27. General provisions

If a provision is invalid or unenforceable, the remaining provisions continue where lawful. Failure to enforce a provision once is not a continuing waiver.

An account or order cannot be assigned without the required consent. REACH Supply may transfer rights and obligations in a lawful business reorganization or transfer, subject to applicable privacy law and customer rights.

A specifically negotiated written agreement controls over conflicting general terms where lawful. Product-specific restrictions must be disclosed before acceptance; a later return authorization provides handling instructions and cannot retrospectively add a restriction or remove an accrued right.

Any mandatory language-of-contract requirements remain applicable. Nothing in this English version is a declaration that a customer has waived a right to a French contract or other language protection.

28. Changes to these terms

We may update these Terms and Conditions prospectively to reflect changes in operations, technology, products, risk, or law. The revised version will state its effective date.

Revised terms apply to future use and future orders and do not retroactively change an accepted order unless permitted by law and agreed where required.
