Terms and Conditions

1. Agreement and incorporated policies

These Terms and Conditions govern access to and use of ReachSupply.ca, customer accounts, orders, communications, products, and related services provided through ReachSupply.ca in Canada. Online consumer orders may also be distance sales contracts subject to mandatory disclosure and cancellation rules; Consumer Protection BC summarizes distance-sales contract requirements for businesses.

By using ReachSupply.ca, creating an account, submitting an order, or accepting a quotation, you agree to these Terms and Conditions and the policies incorporated by reference. If you do not agree, do not submit an order.

The Privacy Policy, Shipping & Delivery Policy, Returns, Refunds & Warranty Policy, and, for approved business accounts, the Trade Account Terms, form part of these terms.

2. REACH Supply Canada and contracting seller

REACH Supply is the seller for purchases made through ReachSupply.ca in Canada. REACH Supply Canada is used only as a regional designation to distinguish the Canadian website and CAD shopping experience from REACH Supply USA.

Orders placed through ReachSupply.ca are contracted with REACH Supply unless an order-specific written agreement expressly states otherwise.

Suppliers, manufacturers, distributors, warehouses, carriers, payment providers, and other service providers may perform parts of a transaction or fulfilment on behalf of REACH Supply. They do not become the seller merely because they source, fulfil, process, transport, or ship an order.

3. Eligibility and customer accounts

You must have legal capacity to enter a binding contract. A person acting for a business or other organization represents that they have authority to bind that organization.

These Terms and Conditions require accurate account information and reasonable protection of account credentials. You are responsible for activity through your account until you notify us of suspected unauthorized access and we have a reasonable opportunity to act. For practical account-protection guidance, review the Canadian Centre for Cyber Security guidance on multi-factor authentication.

We may restrict or suspend access where reasonably necessary for security, fraud prevention, legal compliance, account misuse, or protection of customers and systems.

4. Product and catalogue information

We aim to present product names, descriptions, images, specifications, dimensions, availability, and pricing accurately. Information may originate from manufacturers, suppliers, catalogue providers, or other sources and may contain errors, omissions, or delayed updates.

Images may be illustrative. Packaging, labelling, appearance, country of origin, revision, and non-material specifications may change. Manufacturers may replace obsolete parts with authorized superseding parts.

We will not knowingly substitute a materially different product without consent where consent is required. Product names and trademarks are used for identification and compatibility and do not imply affiliation unless stated.

5. Compatibility and product selection

You are responsible for confirming the correct full model number, serial number, existing part number, production revision, dimensions, voltage, connectors, software, certifications, intended application, and installation conditions before ordering.

Do not rely solely on visual similarity. Compatibility assistance is based on information reasonably available and information you provide. It is not an unconditional guarantee where information is incomplete, inaccurate, or affected by manufacturer revisions.

Nothing removes a remedy where you reasonably relied on an express written recommendation after providing complete and accurate information.

6. Orders and acceptance

Under these Terms and Conditions, submitting an order is an offer to purchase. An automated acknowledgement, payment authorization, or order number confirms receipt but does not necessarily constitute acceptance.

We may accept by issuing confirmation, capturing payment, sourcing, allocating, preparing, or shipping the order. Before acceptance, we may reject, hold, limit, or cancel an order because of availability, pricing or catalogue error, payment failure, verification, fraud risk, shipping restriction, quantity limits, supplier requirements, safety, sanctions, or legal compliance.

If we cancel an unfulfilled accepted order after capturing payment, we will initiate the applicable refund to the original payment method.

7. Pricing, currency, and taxes

Under these Terms and Conditions, prices on ReachSupply.ca are generally in Canadian dollars and may change before acceptance. Prices may differ by customer account, product, quantity, promotion, supplier, market, and sales channel. Mandatory non-government charges will not be added in a manner that makes an advertised price unattainable; the Competition Bureau explains Canada’s rules concerning drip pricing.

GST/HST, provincial sales tax, environmental fees, duties, brokerage, import charges, and other government charges may apply. Tax exemption requires valid documentation accepted for the applicable order and jurisdiction.

If a material pricing, tax, or catalogue error occurs, we may correct it and offer the choice to proceed at the corrected amount or cancel the affected item, subject to applicable law.

8. Payment authorization and capture

Under these Terms and Conditions, by providing a payment method, you represent that you are authorized to use it and authorize REACH Supply and its payment providers to verify, preauthorize, charge, capture, void, or refund amounts associated with the order.

Some orders begin with a preauthorization. Payment may be captured when the order is accepted, sourced, allocated, prepared, or shipped. If an authorization expires, we may request a new authorization or payment method or cancel the affected order.

Financial institutions control how long authorization holds remain visible. We may request reasonable verification or delay fulfilment while payment, identity, or fraud risk is reviewed.

9. Availability, backorders, and substitutions

Inventory and supplier availability can change before fulfilment. An item shown as available may become delayed, backordered, allocated, discontinued, or unavailable.

We may split the order, cancel unavailable items, offer an alternative, or request approval for a manufacturer-authorized replacement or superseding part. A materially different substitute will not be supplied without consent where required.

10. Shipping and delivery

Processing, dispatch, transit, and delivery dates are estimates unless expressly guaranteed. Orders may ship directly from suppliers or multiple locations and may arrive in separate packages.

You are responsible for a complete and deliverable address, reviewing tracking, arranging safe receipt, and paying disclosed shipping or special-handling charges.

These Terms and Conditions incorporate the Shipping & Delivery Policy, which governs carriers, split shipments, tracking, delivery evidence, damage, shortages, address errors, freight, delays, and related matters.

11. Title and risk of loss

Title transfers after cleared payment at the time determined by the order agreement and applicable law.

For consumer orders, risk of loss remains with REACH Supply until the point required by mandatory law, generally proper delivery to the agreed destination or receipt by the customer or an authorized recipient.

For business, freight, export, or customer-arranged carrier orders, risk may transfer at a different point stated in an accepted quotation, shipping term, or written agreement, to the extent permitted by law.

12. Cancellations, returns, refunds, and warranty

These Terms and Conditions incorporate the Returns, Refunds & Warranty Policy, which governs cancellations, return authorization, eligibility, non-returnable products, restocking charges, damaged or incorrect shipments, defective products, warranties, inspections, and refund timing.

An order may become non-cancellable after supplier commitment, sourcing, allocation, customization, packing, or shipment begins. Special-order, electrical, electronic, gas, opened, installed, used, programmed, cut, customized, hazardous, clearance, and final-sale products may have additional restrictions.

Those restrictions do not limit remedies that cannot legally be waived.

13. Installation, service, and product use

Unless REACH Supply separately agrees in writing to provide installation or service, the transaction is for the product only. You are responsible for selecting qualified personnel, obtaining permits and inspections, following instructions and codes, and using the product safely and lawfully.

To the fullest extent permitted by law, REACH Supply is not responsible for loss caused by incorrect selection, improper storage, handling, wiring, voltage, installation, programming, modification, maintenance, misuse, or the acts of an independent technician or contractor.

This does not exclude liability that cannot lawfully be excluded.

14. Trade and wholesale customers

Approved business customers remain subject to these Terms and Conditions and may receive account-specific pricing, quantities, payment options, product access, or service levels. Approval and benefits are confidential, non-transferable, and also subject to the Trade Account Terms.

Unless a separate written agreement states otherwise, trade accounts are payment-due-at-order and do not include credit terms.

15. Promotions, coupons, and credits

Promotions, coupons, discounts, account credits, referral benefits, and gift value may have separate expiry dates, exclusions, minimums, quantity limits, geographic restrictions, and account conditions.

Unless permitted, offers cannot be combined, transferred, sold, exchanged for cash, or applied retroactively. Benefits obtained through error, manipulation, fraud, duplicate accounts, or automated activity may be cancelled.

16. Reviews, communications, and submitted content

When submitting a review, photograph, product question, suggestion, or other content, you represent that you have the right to submit it and that it is accurate, lawful, and does not violate another person's rights.

For content intended for publication, you grant REACH Supply a non-exclusive, worldwide, royalty-free licence to host, format, reproduce, publish, and display it for operating and promoting ReachSupply.ca and its products, subject to the Privacy Policy.

We may moderate or remove unlawful, irrelevant, abusive, fraudulent, or privacy-invasive content. Nothing prohibits honest reviews or truthful communications.

17. Intellectual property

The ReachSupply.ca website design, branding, text, graphics, databases, software, code, and original content are owned by or licensed to REACH Supply and protected by applicable law.

You may use ReachSupply.ca for lawful personal or internal business purchasing. You may not reproduce, republish, mirror, reverse engineer, extract, or commercially exploit protected content without written permission.

18. Prohibited activities

You may not submit fraudulent or unlawful orders; interfere with security or availability; introduce malicious code; attempt unauthorized access; circumvent pricing, quantity, account, or access controls; or misrepresent affiliation with REACH Supply.

Automated scraping, crawling, extraction, monitoring, or collection of pricing, inventory, catalogue data, images, customer information, or website content is prohibited without written permission.

We may restrict access, cancel orders, suspend accounts, preserve evidence, and take lawful action in response to suspected violations.

19. Third-party services and links

ReachSupply.ca may use or link to payment processors, carriers, manufacturers, suppliers, analytics providers, marketing platforms, maps, financing providers, and other third parties. Their services may have separate terms and privacy practices.

REACH Supply is not responsible for an independent third party's systems, representations, or conduct except to the extent responsibility cannot be excluded or the third party acts under REACH Supply's legal control for the activity.

20. Electronic communications and marketing

You consent to receive transaction, account, invoice, security, order, policy, recall, and support records electronically through ReachSupply.ca, your account, or the contact details provided.

These Terms and Conditions distinguish transactional communications from unrelated marketing. Transactional consent does not by itself authorize commercial electronic messages where separate consent is required. Marketing messages are sent subject to applicable consent, sender-identification, and unsubscribe requirements described in the CRTC guidance on Canada’s Anti-Spam Legislation.

21. Privacy

Our Privacy Policy explains how personal information is collected, used, disclosed, retained, and protected, including information shared with payment providers, carriers, suppliers, and direct-shipment partners.

22. Website and service disclaimers

To the fullest extent permitted by law, ReachSupply.ca and related services are provided on an “as available” basis. We do not guarantee uninterrupted access, continuous availability, or that every catalogue record, compatibility entry, image, estimate, or third-party data point will always be complete or current.

Except for express written commitments and rights that cannot be excluded, implied representations, conditions, and warranties are disclaimed only to the extent lawful.

23. Limitation of liability

Consumer transactions

For consumer transactions, limitations apply only to the extent permitted by law. Nothing limits a mandatory refund, cancellation right, legal warranty, product-liability claim, or other non-waivable remedy.

Business transactions

For business, trade, wholesale, institutional, government, or commercial transactions, and to the fullest extent permitted by law, REACH Supply is not liable for indirect, incidental, special, exemplary, punitive, or consequential losses, including lost profit, revenue, data, opportunity, business interruption, labour, diagnosis, removal, reinstallation, travel, or loss of use.

Subject to liability that cannot lawfully be limited, aggregate liability arising from a product or order will not exceed the amount paid to REACH Supply for the specific product or order giving rise to the claim.

24. Business indemnity

To the extent permitted by law, a business customer will defend and indemnify REACH Supply against third-party claims and reasonable costs arising from that customer's unlawful resale, false representations, misuse, unauthorized modification, improper installation, infringement, privacy breach, export, or violation of these terms.

This does not apply to the extent a claim was directly caused by REACH Supply's legally actionable conduct and does not impose prohibited obligations on consumers.

25. Events beyond our reasonable control

REACH Supply is not responsible for delay or failure caused by events beyond reasonable control, including supplier interruption, allocation, carrier failure, customs delay, weather, natural disaster, labour disruption, government action, sanctions, cyberattack, utility outage, or transportation interruption.

We may extend estimates, change fulfilment, allocate inventory, suspend performance, or cancel affected items. Cancellation and refund rights required by law remain available.

26. Disputes and governing law

Before formal proceedings, the parties will make a good-faith effort to resolve the issue through written notice containing the order number, relevant facts, and requested resolution.

Consumer transactions remain subject to courts, tribunals, regulators, complaint processes, chargeback rights, and mandatory remedies available in the consumer's province or territory.

These terms and transactions through ReachSupply.ca are governed by the laws of British Columbia and the federal laws of Canada applicable there, while preserving mandatory rights that apply in another Canadian jurisdiction. Business disputes will be submitted to a court of competent jurisdiction in British Columbia unless another lawful forum is agreed in writing.

The United Nations Convention on Contracts for the International Sale of Goods is excluded to the extent legally permitted.

27. General provisions

If a provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions continue. Failure to enforce a provision is not a waiver.

You may not assign an account or order without written consent. REACH Supply may assign rights and obligations to an affiliate, successor, purchaser, or operating business in connection with financing, reorganization, or transfer of operations, subject to law.

These Terms and Conditions, the order record, and incorporated policies form the agreement. A specifically negotiated written agreement expressly accepted by REACH Supply controls over conflicting general terms.

28. Changes to these terms

We may update these Terms and Conditions prospectively to reflect changes in operations, technology, products, risk, or law. The revised version will state its effective date.

Revised terms apply to future use and future orders and do not retroactively change an accepted order unless permitted by law and agreed where required.
